PAYFLUENCE TERMS AND CONDITIONS

These Terms and Conditions govern access to and use of PayFluence.
PayFluence is operated by Fluence Social Network Ltd, a private company limited by shares incorporated in Nigeria on 17 June 2026 with registration number RC 9620018.
The company’s registered address is No. 2, Aanuoluwapo Street, Ogo-Oluwa, Osogbo, Osun State, Nigeria, and its official company email is temitopejoshua@payfluence.com.ng.
Fluence Social Network Ltd is registered to undertake digital marketing, social-media management, search-engine optimisation, content creation, online advertising and website promotion, among other permitted activities.
These Terms should be read together with the:
- PayFluence Privacy Policy;
- Cookie Notice;
- Refund and Cancellation Policy;
- Acceptable Use Policy;
- Task-specific instructions;
- Customer Campaign Agreement;
- Tasker Agreement;
- Celebrity and Creator Agreement; and
- Any additional terms displayed before a campaign, booking or transaction is accepted.
The Federal Competition and Consumer Protection Act 2018 is Nigeria’s principal consumer-protection legislation. Nothing in these Terms is intended to remove a right that cannot lawfully be excluded under Nigerian consumer law.
1. Acceptance of these Terms
By visiting, registering for, accessing or using PayFluence, you confirm that:
- You have read and understood these Terms;
- You agree to be bound by them;
- You are legally capable of entering into a binding agreement;
- The information you provide is accurate and complete;
- You will comply with applicable Nigerian law; and
- You will comply with the lawful rules of any third-party platform involved in a campaign.
Where you use PayFluence for a company, organisation or another person, you confirm that you have authority to bind that person or organisation to these Terms.
Do not use PayFluence where you do not agree to these Terms.
2. About PayFluence
PayFluence is a digital marketplace that connects businesses, organisations, founders and other customers with users who can provide services such as:
- Product testing;
- Mobile-application testing;
- Website testing;
- User-experience feedback;
- Surveys and market research;
- Content creation;
- Search-engine optimisation assignments;
- Social-media campaigns;
- Promotional campaigns;
- Brand-awareness activities;
- Creator and influencer services;
- Celebrity bookings;
- Digital micro-tasks; and
- Other services approved by PayFluence.
PayFluence’s guiding belief is:
Everyone Can Influence.
PayFluence may provide the technology, payment arrangement, task-distribution system, evidence-review process, communication channels and dispute-resolution procedure used for campaigns.
Unless PayFluence expressly states otherwise, PayFluence is not the manufacturer, owner or operator of a customer’s product, website, application or third-party social-media account.
3. Important definitions
For these Terms:
“PayFluence,” “we,” “us” or “our” means Fluence Social Network Ltd and the PayFluence platform.
“Platform” means the PayFluence website, application, dashboard and related services.
“User” means any person who accesses or uses PayFluence.
“Tasker” means a user who accepts and performs a task through PayFluence.
“Tester” means a Tasker who tests a product, website, application or service.
“Customer” means a person, business, organisation, founder, agency or brand that purchases or funds a campaign.
“Celebrity User” means an approved celebrity, creator, influencer, athlete, musician, entertainer, public personality or other user who offers services through PayFluence.
“Campaign” means a task, service, product test, survey, promotion, booking or other assignment offered through PayFluence.
“Task” means an individual action or group of actions requested under a Campaign.
“Submission” means evidence, feedback, content, screenshots, links, reports or other material provided to show that a Task has been completed.
“Wallet” means the internal record of funds, credits, earnings, bonuses, refunds or amounts connected to a user’s account.
“Earnings” means amounts approved for completed services, subject to these Terms.
“Campaign Instructions” means the requirements displayed before a Task or service is accepted.
“Service Duration” means the period for which an agreed action must remain completed or active.
“Third-Party Platform” includes Google, Meta, Facebook, Instagram, TikTok, X, LinkedIn, YouTube, app stores, payment providers and other services not controlled by PayFluence.
4. Eligibility
You must be at least 18 years old to create an account, complete paid Tasks, fund Campaigns, receive Earnings, request withdrawals or offer Celebrity User services.
By registering, you confirm that:
- You are at least 18 years old;
- You are using your real identity;
- You can legally enter into contracts;
- You are not prohibited from using the Platform;
- Your account has not previously been permanently banned, unless PayFluence has authorised your return in writing; and
- You will use PayFluence only for lawful purposes.
PayFluence may request proof of age or identity at any time.
An account may be restricted or closed where PayFluence reasonably believes the user is underage or has provided false identity information.
5. Account registration
To use certain Platform features, you must create an account.
You agree to:
- Provide accurate information;
- Keep your information current;
- Use an email address and telephone number you control;
- Create only the number of accounts expressly permitted;
- Protect your login credentials;
- Notify PayFluence of suspected unauthorised access;
- Complete any required verification; and
- Accept responsibility for activity carried out through your account unless you promptly report an account compromise.
You must not:
- Create an account using another person’s identity;
- Sell, rent or transfer your account;
- Allow another person to perform Tasks through your account;
- Use disposable or misleading identity information;
- Create duplicate accounts to obtain additional Tasks or bonuses;
- Share verification codes;
- Purchase or obtain an existing PayFluence account;
- Bypass a suspension or ban; or
- Use bots or automated account-creation systems.
PayFluence may merge, restrict or close duplicate accounts.
6. Account verification
PayFluence may require verification before permitting access to certain features.
Verification may include:
- Email verification;
- Telephone verification;
- WhatsApp verification;
- Government identification;
- Selfie verification;
- Bank-account verification;
- Social-media ownership verification;
- Business-registration documents;
- Live video verification;
- Google Meet verification;
- Device review; or
- Other reasonable checks.
Verification does not represent an endorsement, guarantee or certification of a user’s character, ability, popularity, honesty or future conduct.
A verification badge only means that PayFluence completed the verification procedures applicable at that time.
PayFluence may remove verification status where:
- Information becomes inaccurate;
- The user changes the verified account;
- Fraud is suspected;
- A social-media account is sold or transferred;
- The user breaches these Terms;
- The verification can no longer be confirmed; or
- Continued verification would mislead other users.
7. Account security
You are responsible for taking reasonable steps to secure your account.
You must not share:
- Your password;
- Your one-time password;
- Your payment PIN;
- Your bank PIN;
- Your account-recovery code; or
- Your private authentication credentials.
PayFluence representatives will not request your password, bank PIN, card PIN or one-time password.
You must notify PayFluence immediately at temitopejoshua@payfluence.com.ng where:
- Your account is compromised;
- Your device is stolen;
- You detect an unauthorised withdrawal;
- Your registered email is compromised;
- Someone impersonates PayFluence; or
- You believe your identity is being misused.
PayFluence may temporarily restrict an account while investigating a security incident.
8. User categories
A user may hold one or more approved roles, including:
- Tasker;
- Tester;
- Customer;
- Business representative;
- Celebrity User;
- Creator;
- Influencer;
- Community leader;
- Referrer; or
- Other approved role.
Access to a role is not permanent.
PayFluence may add, remove or change a role where:
- Verification is incomplete;
- Eligibility changes;
- The user breaches these Terms;
- The Platform feature is changed;
- Fraud or abuse is suspected; or
- The role is no longer available.
PART A: TERMS FOR TASKERS
9. Accepting Tasks
Before accepting a Task, a Tasker must review:
- The Task instructions;
- Eligibility requirements;
- Required device or account;
- Required evidence;
- Completion deadline;
- Service Duration;
- Expected Earnings;
- Correction period;
- Confidentiality requirements;
- Third-party platform requirements; and
- Any special conditions.
By accepting a Task, the Tasker agrees to complete it personally, honestly and within the stated period.
A Tasker must not reserve a slot where the Tasker does not reasonably expect to complete the Task within the permitted period.
Reserving a slot does not guarantee payment. Payment depends on proper completion, verification and approval.
10. Task performance standards
Taskers must:
- Follow the current Campaign Instructions;
- Read all requirements before starting;
- Use an authorised account and device;
- Complete the Task personally;
- Submit genuine evidence;
- Meet the deadline;
- Respond promptly to correction requests;
- Maintain required actions for the full Service Duration;
- Protect confidential information;
- Avoid exposing another person’s private information;
- Provide honest feedback;
- Comply with applicable law; and
- Comply with relevant Third-Party Platform policies.
Taskers must not:
- Submit another person’s evidence;
- Copy another Tasker’s submission;
- Reuse evidence from a previous Task;
- Edit evidence deceptively;
- Submit fabricated screenshots;
- Submit work completed before the permitted Task period where current completion is required;
- Use bots or automation without express approval;
- Misrepresent a review as genuine experience;
- Give false product feedback;
- Create fake accounts;
- Perform the same Task through unauthorised duplicate accounts;
- Undo an action before the agreed date;
- Delete an agreed post or article;
- Remove an agreed review contrary to the instructions and applicable platform rules;
- Unfollow an account before the agreed date;
- Share customer information without permission; or
- Interfere with another user’s participation.
11. Honest reviews and endorsements
Where a Task involves a review, testimonial, endorsement, rating or public statement:
- The Tasker must give an honest opinion based on actual experience;
- The Customer must not require a predetermined false opinion;
- A Tasker must not claim to have purchased or used something that the Tasker did not purchase or use;
- A Tasker must not conceal a paid relationship where disclosure is required by law or a Third-Party Platform;
- A Customer may provide factual instructions but may not dictate dishonest content;
- A Tasker must not make false claims about competitors;
- A Tasker must comply with the relevant platform’s review and endorsement rules; and
- PayFluence may reject or remove a Campaign that requires deceptive or manipulated reviews.
PayFluence does not guarantee that a Third-Party Platform will publish or retain a review, post, comment or rating.
A Third-Party Platform may remove content under its own policies, and PayFluence does not control that decision.
12. Task submissions
A Submission must:
- Be complete;
- Be authentic;
- Relate to the assigned Task;
- Clearly show the required action;
- Be submitted within the allowed period;
- Not contain unnecessary personal data;
- Not contain malicious software;
- Not infringe intellectual-property rights; and
- Not be misleading.
PayFluence or the Customer may request a reasonable correction where:
- Evidence is unclear;
- Part of the Task is incomplete;
- The wrong link is submitted;
- Required information is missing;
- The Submission does not follow the instructions; or
- Further verification is reasonably required.
A correction request does not automatically mean that a Task has been rejected.
13. Approval and rejection of Tasks
A Task may be approved where:
- The instructions were followed;
- Evidence is authentic;
- The Task was completed within the permitted time;
- Any required action remains active;
- No fraud indicator is unresolved; and
- The Submission satisfies the Campaign requirements.
A Task may be rejected where:
- It was not completed;
- It was completed incorrectly;
- Evidence is false or copied;
- The Tasker was ineligible;
- The deadline expired;
- A correction request was ignored;
- The Tasker undid the action early;
- The Tasker used an unauthorised account or device;
- The Task violated a Third-Party Platform’s rules;
- The Tasker submitted another person’s work;
- Fraud or manipulation is established; or
- Payment for the underlying Campaign was reversed because of the Tasker’s misconduct.
Where reasonably practicable, PayFluence will state the reason for rejection.
A rejection may be appealed under the dispute procedure in these Terms.
14. Task slots and inactivity
PayFluence may limit the number of users permitted to participate in a Task.
Where a Tasker secures a slot but does not begin or complete the Task within the stated window, PayFluence may:
- Release the slot;
- Assign it to another Tasker;
- Mark the Task as expired;
- Reduce priority for similar time-sensitive Tasks; or
- Restrict repeated slot reservation where there is a pattern of non-performance.
A Tasker should not reserve a slot merely to prevent another person from completing the Task.
15. Task Earnings
The amount payable for a Task will ordinarily be displayed before acceptance.
Earnings become withdrawable only after:
- The Task is completed;
- Evidence is submitted;
- The Task is approved;
- Any required holding period expires;
- The relevant action remains active for the required Service Duration, where applicable; and
- Any fraud or payment review is resolved.
PayFluence does not guarantee:
- A minimum number of Tasks;
- Daily Tasks;
- Regular income;
- Monthly income;
- A specific Earnings level;
- Automatic acceptance of Submissions; or
- Permanent access to any Task category.
Task availability may depend on:
- Customer demand;
- User eligibility;
- Device type;
- Location;
- Account history;
- Campaign limits;
- Quality performance;
- Verification status; and
- Fraud-prevention controls.
16. Tasker relationship with PayFluence
Taskers participate as independent users of a digital marketplace.
Unless a separate written employment agreement exists, nothing in these Terms creates:
- Employment;
- An employer–employee relationship;
- An agency relationship;
- A partnership;
- A joint venture;
- A franchise;
- A right to salary;
- A right to pension;
- A right to paid leave;
- A guaranteed working schedule; or
- A guarantee of continued access to Tasks.
Taskers choose whether to accept available Tasks.
Taskers are responsible for any tax, reporting or statutory obligation that lawfully applies to their Earnings.
PayFluence may nevertheless impose quality, safety, verification and Campaign requirements necessary to operate the Platform.
PART B: TERMS FOR CUSTOMERS
17. Customer accounts
Customers must provide accurate information concerning:
- Their identity;
- Business name;
- Authorised representative;
- Campaign purpose;
- Product or service;
- Payment source;
- Campaign instructions; and
- Required participant information.
PayFluence may request business-registration documents, identity verification or proof of authority before approving a Campaign.
A person creating a Campaign for a business confirms that the person is authorised to bind the business.
18. Creating a Campaign
A Customer must provide:
- A clear Campaign title;
- An accurate description;
- Lawful instructions;
- The required number of users;
- Eligibility requirements;
- Required evidence;
- The applicable deadline;
- The applicable Service Duration;
- The correct payment amount;
- Any disclosure requirement;
- Any confidentiality requirement;
- Any content-licensing requirement; and
- Information about material risks.
Customers must not hide essential requirements after users have accepted a Task.
A material change to a Campaign may require:
- Tasker consent;
- Additional payment;
- A deadline extension;
- Cancellation; or
- Creation of a new Campaign.
19. Prohibited Campaigns
Customers must not create Campaigns that involve:
- Illegal activity;
- Identity theft;
- Account theft;
- Password collection;
- One-time-password collection;
- Bank PIN collection;
- Card PIN collection;
- Malware;
- Phishing;
- Unauthorised account access;
- Hacking;
- Cyberattacks;
- Deceptive financial activity;
- Money laundering;
- Fraudulent withdrawals;
- Fake payment evidence;
- Creating false identities;
- Harassment;
- Threats;
- Stalking;
- Discrimination;
- Exploitation of children;
- Sexual exploitation;
- Human trafficking;
- Terrorism;
- Violence;
- Sale of illegal goods;
- Manipulation of elections;
- Unlawful political influence;
- Fabricated testimonials;
- False reviews;
- Defamation;
- Copyright infringement;
- Trade-mark infringement;
- Privacy invasion;
- Unauthorised surveillance;
- Collection of unnecessary sensitive personal data;
- Circumvention of a Third-Party Platform’s security;
- Artificial engagement prohibited by the relevant platform; or
- Any activity PayFluence reasonably considers unsafe, deceptive or unlawful.
PayFluence may reject, suspend or cancel a prohibited Campaign without allowing it to continue.
Where a Campaign appears criminal or creates a serious safety risk, PayFluence may preserve relevant evidence and cooperate with competent authorities.
20. Customer payment obligations
A Customer must pay the amount displayed or agreed before a Campaign begins, unless PayFluence expressly approves another arrangement.
The amount may include:
- Tasker compensation;
- Celebrity User compensation;
- PayFluence service fees;
- Payment-provider charges;
- Taxes;
- Reporting fees;
- Campaign-management fees; and
- Other disclosed charges.
PayFluence may require:
- Full advance payment;
- A deposit;
- Payment by milestone;
- Part payment before launch;
- The balance before final delivery; or
- Another written payment structure.
A Campaign will not necessarily begin until sufficient cleared funds are received.
The Customer is responsible for ensuring that the payment method is authorised and lawful.
21. Customer review of Submissions
Customers must review Submissions fairly and within the displayed or agreed period.
A Customer must not reject valid work merely to avoid payment.
A Customer may request correction where the Tasker did not follow the Campaign Instructions.
A Customer must not add new requirements after completion and then reject a Submission for failing to satisfy those new requirements.
Where a Customer does not respond within the review period, PayFluence may:
- Remind the Customer;
- Review the Submission itself;
- Approve the Submission based on available evidence;
- Extend the review period where reasonable; or
- Take another fair step described in the Campaign terms.
22. Campaign results
PayFluence may provide:
- Individual Submissions;
- Compiled reports;
- Testing feedback;
- Links;
- Screenshots;
- Campaign statistics;
- User observations; or
- Other agreed deliverables.
Customer results may reflect user opinion and do not constitute:
- A legal opinion;
- A financial audit;
- A security certification;
- A medical opinion;
- A guarantee of commercial success;
- A guarantee of app-store approval;
- A guarantee of search ranking;
- A guarantee that content will remain online; or
- A guarantee that all users will share the same opinion.
Customers remain responsible for evaluating and acting on Campaign results.
23. Customer use of user information
A Customer may use participant information only for the disclosed Campaign purpose and in accordance with applicable data-protection law.
Customers must not:
- Sell participant data;
- Publish private Submissions without authority;
- Contact users outside approved channels without a lawful basis;
- Use data for discrimination;
- Use data for harassment;
- Use data for unrelated advertising without consent;
- Collect excessive information;
- Retain information longer than reasonably necessary; or
- Attempt to identify anonymous participants without authority.
The Nigeria Data Protection Act 2023 requires personal data to be processed lawfully and fairly and establishes rights and obligations concerning personal-data processing.
PART C: CELEBRITY, CREATOR AND INFLUENCER TERMS
24. Celebrity User application
A person applying to become a Celebrity User must provide accurate information about:
- Identity;
- Public name;
- Social-media accounts;
- Audience;
- Professional category;
- Services;
- Rates;
- Availability;
- Brand restrictions;
- Payment information; and
- Authority to provide the advertised services.
PayFluence may require a live video or Google Meet verification before approving the profile.
PayFluence may approve, reject, suspend or request changes to a Celebrity User profile.
Approval is discretionary and may depend on:
- Identity verification;
- Account ownership;
- Authenticity;
- Audience quality;
- Safety;
- Reputation risk;
- Service suitability;
- Legal compliance; and
- Platform demand.
25. Celebrity User profiles
Celebrity Users authorise PayFluence to display approved public information such as:
- Public name;
- Biography;
- Photograph;
- Professional category;
- Verified social-media profiles;
- Audience information;
- Services;
- Rates;
- Ratings;
- Reviews; and
- Availability.
A Celebrity User must keep this information accurate.
False follower counts, false engagement information, impersonation or misleading professional claims may result in:
- Profile correction;
- Removal of verification;
- Booking cancellation;
- Payment withholding;
- Refund;
- Suspension; or
- Permanent removal.
26. Accepting a Celebrity Campaign
Before accepting a Campaign, the Celebrity User must review:
- The action required;
- The Customer;
- The relevant account;
- The social platform;
- The content;
- The fee;
- The Service Duration;
- The start date;
- The end date;
- The disclosure requirement;
- Content-usage rights;
- Recording terms;
- Revision limits;
- Cancellation terms; and
- Any prohibited category.
By accepting, the Celebrity User agrees to provide the service exactly as described.
The Celebrity User may reject a Campaign before acceptance where it conflicts with:
- Personal values;
- Religious beliefs;
- Safety;
- Reputation;
- Existing contracts;
- Legal obligations; or
- Third-Party Platform rules.
After acceptance, the Celebrity User may cancel only under the applicable cancellation rules.
27. Maintaining an agreed action
Where a Celebrity User accepts a paid action, the Celebrity User must perform and maintain that action for the full Service Duration.
This may include:
- Following a specified account;
- Keeping a comment visible;
- Keeping a sponsored post public;
- Maintaining a like or reaction;
- Maintaining a share;
- Maintaining a mention;
- Keeping a video publicly available;
- Keeping a profile link active;
- Attending an agreed meeting;
- Participating in a live session; or
- Completing another agreed service.
The Celebrity User must not, before the agreed completion date:
- Unfollow the relevant account;
- Delete the comment;
- Remove the like;
- Delete the post;
- Hide the content;
- Archive the content;
- Remove the share;
- Remove the mention;
- Edit the content in a way that defeats the Campaign;
- Block the Customer merely to conceal non-performance;
- Reverse the agreed action; or
- Otherwise undo the service without authorisation.
Payment does not remove an ongoing Service Duration obligation.
The service is finally completed only when:
- The required action has been performed;
- The action has remained active for the full Service Duration;
- Any required evidence has been provided;
- Any dispute period has expired; and
- No established breach remains unresolved.
28. Early removal or reversal by a Celebrity User
Where a Celebrity User removes or reverses an agreed action before the end of the Service Duration without an accepted exception, PayFluence may:
- Request immediate restoration;
- Suspend release of payment;
- Reverse pending Earnings;
- Refund the Customer;
- Adjust the Celebrity User’s Wallet;
- Deduct an undisputed amount from future Earnings where legally permitted;
- Require the service to be repeated;
- Remove verification status;
- Restrict future bookings;
- Suspend the account;
- Terminate the Celebrity User profile; or
- Seek recovery of proven losses through lawful means.
Before imposing a final financial adjustment, PayFluence will ordinarily:
- Notify the Celebrity User;
- Identify the alleged breach;
- Allow the Celebrity User a reasonable opportunity to respond;
- Review available evidence; and
- Communicate the decision.
PayFluence will not impose an arbitrary deduction unrelated to the affected transaction.
29. Exceptions for early removal
Early removal may not constitute a breach where the Celebrity User demonstrates that it resulted from:
- Removal by the Third-Party Platform;
- Suspension of the account by the Third-Party Platform;
- A legal requirement;
- A court order;
- A regulatory instruction;
- A serious safety threat;
- Harassment;
- Unlawful Campaign content;
- Intellectual-property infringement;
- A technical failure outside reasonable control;
- A Customer’s material breach;
- Written approval from PayFluence; or
- Written approval from the Customer and PayFluence.
The Celebrity User must notify PayFluence promptly and provide available evidence.
Where possible, the parties may agree on:
- Restoration;
- Replacement performance;
- An extension;
- Partial payment;
- Partial refund;
- Full cancellation; or
- Another fair resolution.
30. Duration options
A Celebrity Campaign may specify a duration such as:
- One hour;
- One day;
- One week;
- One month;
- Three months;
- Six months;
- One year; or
- Another clearly defined period.
An “indefinite” or “lifetime” service must not be interpreted as requiring performance beyond what is legally enforceable or technically possible.
Where an indefinite service is permitted, it means that the action is intended to continue without a fixed end date until terminated under the Campaign terms because of:
- Mutual agreement;
- Platform closure;
- Account closure;
- Legal requirements;
- Safety;
- Third-Party Platform enforcement;
- Material breach; or
- Another stated termination condition.
PayFluence may require long-duration Campaigns to include periodic review or renewal rather than an unlimited obligation.
31. Creator content and advertising disclosures
Celebrity Users must clearly disclose a paid, sponsored or promotional relationship where disclosure is required by:
- Nigerian law;
- Advertising standards;
- The relevant Third-Party Platform;
- The Campaign Instructions; or
- The nature of the representation.
A Celebrity User must not:
- Make a false claim;
- Provide a deceptive testimonial;
- Claim personal use where there was none;
- Hide a material commercial relationship where disclosure is required;
- Promote unlawful goods or services;
- Defame another person;
- Infringe copyright;
- Publish another person’s private information; or
- Misrepresent Campaign results.
32. Celebrity meetings and appearances
Where a service includes a meeting, appearance or live session:
- The Celebrity User must attend at the agreed time;
- The Customer must behave respectfully;
- Neither party may record without the required permission;
- Neither party may use the meeting for harassment;
- Neither party may request unlawful activity;
- The Customer must not misrepresent the purpose of the meeting;
- The Celebrity User may end the session for safety or serious misconduct; and
- Rescheduling is subject to the booking terms.
PayFluence does not guarantee the outcome of a meeting, personal relationship, investment discussion, endorsement or business conversation.
PART D: PAYMENTS, WALLET AND WITHDRAWALS
33. The PayFluence Wallet
The Wallet is an internal accounting feature used to display:
- Campaign funds;
- Pending Earnings;
- Approved Earnings;
- Bonuses;
- Refunds;
- Commissions;
- Holds;
- Reversals; and
- Withdrawable amounts.
The Wallet is not:
- A bank account;
- A savings account;
- A deposit account;
- An investment;
- A credit facility;
- An insurance product; or
- A guarantee that all displayed pending amounts are immediately payable.
PayFluence may use regulated payment providers to receive and transfer funds.
34. Pending and available balances
A balance may be classified as:
Pending: Awaiting completion, review, Service Duration, payment confirmation or fraud checks.
Available: Approved and eligible for withdrawal, subject to withdrawal limits and verification.
On hold: Temporarily restricted because of a dispute, security review, chargeback, suspected fraud, legal requirement or incomplete verification.
Reversed: Removed because the associated transaction was cancelled, refunded, duplicated, fraudulent or otherwise invalid.
A pending amount is not finally earned until all applicable approval requirements have been satisfied.
35. Withdrawals
A user may request withdrawal where:
- The minimum withdrawal amount is satisfied;
- The balance is available;
- Verification is complete;
- The bank account belongs to or is authorised by the user;
- No unresolved fraud review applies;
- No lawful restriction applies; and
- The user follows the withdrawal procedure.
PayFluence may display:
- A minimum withdrawal amount;
- Withdrawal fees;
- Processing times;
- Daily or monthly limits;
- Verification requirements; and
- Supported banks or payment methods.
These details may change, but any applicable fee should be disclosed before confirmation.
A withdrawal may be delayed where:
- Bank information is incorrect;
- The payment provider experiences downtime;
- Additional verification is required;
- Fraud is suspected;
- A chargeback affects the balance;
- The account is compromised;
- A legal restriction applies; or
- The user has an unresolved dispute.
PayFluence will not deliberately withhold an undisputed, approved balance without a lawful or contractual reason.
36. Incorrect payment details
Users are responsible for entering correct payment details.
Where funds are sent to an incorrect account because the user supplied incorrect information, PayFluence will make reasonable efforts to assist but cannot guarantee recovery.
PayFluence may require account-name matching before withdrawal.
37. Fees
PayFluence may charge:
- Platform fees;
- Campaign-management fees;
- Transaction fees;
- Withdrawal fees;
- Celebrity booking commissions;
- Refund-processing costs;
- Content-production fees;
- Reporting fees; or
- Other clearly disclosed charges.
A fee applicable to a transaction should be shown before the user confirms the transaction.
PayFluence may change fees prospectively.
A fee change will not ordinarily alter a Campaign already accepted unless:
- The parties agree;
- A tax or mandatory charge changes;
- A third-party payment cost changes and the Campaign terms permit the adjustment; or
- The original fee was displayed in error and the user agrees to proceed.
38. Taxes
Users are responsible for determining and meeting any tax obligations that apply to their income, business or transactions.
PayFluence may:
- Collect taxes where legally required;
- Deduct withholding tax where legally required;
- Request tax information;
- Issue transaction records; or
- Report transactions where required by law.
39. Chargebacks and payment reversals
Where a Customer initiates a chargeback or a payment is reversed, PayFluence may investigate the affected Campaign.
PayFluence may temporarily hold related funds while determining:
- Whether the Customer authorised the payment;
- Whether the Campaign was delivered;
- Whether the chargeback is fraudulent;
- Whether a Tasker or Celebrity User breached the Campaign; and
- Whether evidence must be provided to the payment provider.
A user must not initiate a dishonest chargeback after receiving the agreed service.
PayFluence may restrict a Customer who repeatedly makes improper chargebacks.
PART E: REFUNDS AND CANCELLATIONS
40. General refund principles
Refund eligibility depends on:
- Whether the Campaign started;
- The number of completed Tasks;
- Whether services were delivered;
- Whether the Customer changed its mind;
- Whether a user breached the Campaign;
- Whether PayFluence incurred non-refundable costs;
- Whether the Campaign was unlawful;
- Whether a Third-Party Platform removed content;
- The applicable Campaign terms; and
- Consumer rights that cannot lawfully be excluded.
Refund decisions will be made fairly and with regard to the service actually delivered.
41. Customer cancellation before Campaign launch
Where a Customer cancels before the Campaign begins, PayFluence may refund the amount paid, less any:
- Payment-provider charges;
- Non-refundable setup costs;
- Work already completed;
- Custom content costs; or
- Other clearly disclosed non-refundable expense.
42. Customer cancellation after Campaign launch
Where a Customer cancels after users have begun work:
- Approved completed work must be paid;
- Valid pending work may be reviewed;
- Unused Campaign funds may be refundable;
- PayFluence fees already earned may be non-refundable;
- Payment-provider charges may be deducted; and
- Custom or committed costs may be deducted where disclosed and reasonable.
A Customer cannot cancel completed work merely because the Customer no longer wants the result.
43. Refunds for non-performance
A Customer may be eligible for a full or partial refund where:
- The required number of valid users was not delivered;
- A Tasker submission was invalid and no replacement was provided;
- A Celebrity User failed to perform;
- A Celebrity User undid the action before the agreed date;
- PayFluence cancelled the Campaign;
- The service materially differed from the agreed description; or
- Another refund ground applies under consumer law.
PayFluence may first offer:
- Correction;
- Replacement;
- Re-performance;
- Campaign extension;
- Account restoration;
- Partial refund; or
- Another proportionate remedy.
44. No refund solely because of Third-Party Platform results
Unless expressly guaranteed in writing, a refund is not automatically due merely because:
- A review is removed by Google;
- A post receives low engagement;
- A social platform reduces reach;
- An application is rejected by an app store;
- A website does not rank;
- A follower later independently unfollows after the agreed duration;
- A platform suspends content;
- An algorithm changes;
- A product does not become commercially successful; or
- A Campaign does not produce a particular sales result.
However, this does not excuse fraud, non-performance, deceptive Campaigns or breach of an agreed Service Duration.
45. Tasker cancellation
A Tasker may release an unstarted Task slot where the Platform permits.
Where a Tasker abandons a Task after starting, PayFluence may:
- Release the slot;
- Assign another Tasker;
- Decline payment for incomplete work;
- Record repeated non-performance; or
- Restrict access to time-sensitive Tasks.
A Tasker should notify PayFluence where a genuine technical or safety issue prevents completion.
46. Celebrity User cancellation
A Celebrity User who cancels before performance may be required to:
- Return any advance payment;
- Allow another Celebrity User to be selected;
- Reimburse non-refundable costs caused by an unjustified cancellation where lawfully recoverable; or
- Accept an account-performance record.
Cancellation without penalty may be permitted where:
- The Campaign is unlawful;
- The Customer materially changes the brief;
- The Campaign creates a serious safety risk;
- The Customer harasses the Celebrity User;
- Payment is not made;
- Performance would violate a Third-Party Platform’s rules;
- A force-majeure event prevents performance; or
- Another agreed exception applies.
PART F: REFERRALS AND COMMUNITY PROGRAMMES
47. Referral programme
PayFluence may allow users to invite others through referral links or codes.
Referral rewards may depend on conditions such as:
- Successful registration;
- Identity verification;
- First valid Task;
- Minimum Campaign participation;
- Continued account eligibility; or
- Another displayed requirement.
A referral registration does not automatically guarantee a reward.
PayFluence may reverse a referral reward where:
- The referred account is fake;
- The account is duplicated;
- The referral is self-created;
- The qualification Task is fraudulent;
- The payment is reversed;
- The user manipulates the programme; or
- The reward was issued in error.
48. Referral abuse
Users must not:
- Create accounts solely to obtain referral rewards;
- Refer themselves;
- Buy fake registrations;
- Use another person’s identity;
- Mislead people about expected Earnings;
- Promise guaranteed income;
- Spam referral links;
- Present PayFluence as a get-rich-quick scheme;
- Charge unauthorised registration fees;
- Collect passwords;
- Operate another user’s account; or
- Use coercion to obtain referrals.
49. Community leaders
PayFluence may appoint community leaders to:
- Guide new users;
- Explain Platform rules;
- Share authorised Campaign information;
- Support referrals;
- Report problems; or
- Assist with community engagement.
A community leader is not automatically an employee, officer, director or legal representative of PayFluence.
Community leaders must not:
- Guarantee Tasks or income;
- Demand users’ Earnings;
- Request passwords;
- Request one-time passwords;
- Collect unauthorised fees;
- Threaten users;
- Approve their own fraudulent submissions;
- Misuse user information;
- Impersonate management; or
- Make unauthorised commitments on behalf of PayFluence.
PayFluence may remove a community leader at any time for misconduct, inactivity, risk or programme changes.
PART G: CONTENT AND INTELLECTUAL PROPERTY
50. PayFluence intellectual property
The Platform and its original materials may include:
- Software;
- Source code;
- Interfaces;
- Designs;
- Logos;
- Trade names;
- Text;
- Graphics;
- Databases;
- Workflows;
- Reports;
- Brand elements;
- Documentation; and
- Other proprietary material.
These materials belong to Fluence Social Network Ltd or its licensors.
Users receive a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose.
Users must not:
- Copy the Platform;
- Reverse engineer it, except where law expressly permits;
- Scrape it without permission;
- Resell access;
- Remove ownership notices;
- Create a confusingly similar service using protected material;
- Exploit security vulnerabilities;
- Copy confidential business processes; or
- Use PayFluence branding without permission.
51. User content
Users retain ownership of content they lawfully own, subject to licences granted under these Terms and Campaign-specific agreements.
By submitting content to PayFluence, you grant PayFluence a non-exclusive, worldwide, royalty-free licence to:
- Host;
- Store;
- Reproduce;
- Format;
- Display;
- Transmit;
- Review;
- Moderate;
- Deliver to the relevant Customer;
- Include in Campaign reports; and
- Use as reasonably necessary to operate and protect the Platform.
This licence is limited to Platform operation, Campaign delivery, security, dispute resolution, legal compliance and any additional purpose expressly accepted by the user.
PayFluence will not claim ownership of a Tasker’s unrelated pre-existing intellectual property.
52. Customer Campaign materials
Customers retain ownership of materials they lawfully provide.
Customers grant PayFluence and assigned users a limited licence to use Campaign materials only as necessary to perform the Campaign.
Customers confirm that they have all necessary rights to provide:
- Logos;
- Images;
- Videos;
- Music;
- Software;
- Documents;
- Trade marks;
- Product information;
- Personal data; and
- Other Campaign assets.
The Customer is responsible for claims resulting from materials the Customer did not have authority to use.
53. Creator-content rights
The ownership and usage rights for celebrity or creator content must be stated in the Campaign.
The Campaign should specify whether the Customer receives:
- A limited licence;
- A licence for a stated period;
- Organic social-media usage rights;
- Paid advertising rights;
- Website usage rights;
- Editing rights;
- Territory restrictions;
- Exclusivity;
- Perpetual rights; or
- Full assignment of copyright.
Unless the Campaign expressly states otherwise:
- The Celebrity User retains ownership of original content;
- The Customer receives only the rights reasonably necessary for the agreed Campaign;
- The Customer may not materially alter the content in a misleading manner;
- The Customer may not use the content for another product without permission; and
- Paid advertising or long-term reuse requires express agreement.
54. Copyright complaints
A person who believes that content on PayFluence infringes intellectual-property rights may contact:

The complaint should include:
- The complainant’s identity;
- The protected work;
- The allegedly infringing material;
- The relevant link;
- Evidence of ownership or authority;
- Contact information; and
- A good-faith explanation.
PayFluence may temporarily restrict disputed content while reviewing the complaint.
PART H: PLATFORM SAFETY AND ACCEPTABLE USE
55. General prohibited conduct
Users must not:
- Break Nigerian law;
- Defraud another person;
- Steal personal information;
- Access another person’s account;
- Manipulate Wallet balances;
- Attempt an unauthorised withdrawal;
- Alter Platform databases;
- Exploit software vulnerabilities;
- Introduce malicious code;
- Conduct denial-of-service attacks;
- Disrupt Platform infrastructure;
- Scrape private data;
- Sell user information;
- Harass another user;
- Threaten staff;
- Impersonate PayFluence;
- Create misleading payment receipts;
- Submit stolen work;
- Manipulate Campaign results;
- Abuse referral systems;
- Collude to deceive Customers;
- Launder money;
- Use PayFluence to finance unlawful conduct; or
- Assist another person in any prohibited activity.
56. Security testing
Users must not test, scan, attack or exploit PayFluence systems without prior written authorisation.
Good-faith security researchers should report suspected vulnerabilities privately to:

A vulnerability report must not be used to:
- Access user data;
- Withdraw money;
- Modify balances;
- disrupt services;
- Extort PayFluence;
- Publish sensitive information prematurely; or
- Damage Platform infrastructure.
57. Confidential information
A Campaign may include confidential information.
Users must not disclose confidential information except:
- To complete the Campaign;
- With written permission;
- Where the information is already lawfully public;
- Where disclosure is required by law; or
- To obtain professional advice under confidentiality.
Confidential information may include:
- Unreleased products;
- Testing builds;
- Business plans;
- Customer lists;
- Technical documentation;
- Campaign strategy;
- Pricing;
- Security information;
- Personal data; and
- Private communications.
58. Reports and investigations
Users may report suspected misconduct through official PayFluence support channels.
PayFluence may investigate:
- Fraud;
- Harassment;
- Fake evidence;
- Duplicate accounts;
- Payment abuse;
- Early service reversal;
- Unlawful Campaigns;
- Security incidents;
- Referral manipulation;
- Identity theft; and
- Other breaches.
During an investigation, PayFluence may:
- Request information;
- Preserve evidence;
- Restrict transactions;
- Delay withdrawal;
- Suspend a Campaign;
- Contact relevant parties;
- Review public Campaign evidence; or
- Cooperate with competent authorities.
Investigations will be conducted as fairly and proportionately as reasonably possible.
PART I: SUSPENSION AND TERMINATION
59. Temporary restrictions
PayFluence may temporarily restrict an account where:
- Verification is incomplete;
- Fraud is suspected;
- A security incident occurs;
- A payment is disputed;
- A Submission is under investigation;
- A user repeatedly ignores Campaign instructions;
- A legal request is received;
- An account appears compromised; or
- Temporary restriction is reasonably necessary to protect users or funds.
A restriction may affect:
- Login;
- Task access;
- Campaign creation;
- Booking acceptance;
- Withdrawal;
- Messaging;
- Public profile visibility; or
- Another Platform feature.
60. Suspension or termination
PayFluence may suspend or terminate an account for material or repeated breach, including:
- Identity fraud;
- Multiple unauthorised accounts;
- Fake Submissions;
- Theft of another user’s proof;
- Payment fraud;
- Unauthorised withdrawals;
- Hacking;
- Harassment;
- Repeated non-performance;
- Repeated early reversal of services;
- Illegal Campaigns;
- Serious privacy violations;
- Chargeback abuse;
- Referral fraud;
- Intellectual-property infringement;
- Threats to Platform safety; or
- Attempting to evade an earlier ban.
Where appropriate, PayFluence may give notice and an opportunity to correct the breach.
Immediate suspension may occur where the conduct creates:
- A serious security risk;
- A fraud risk;
- A safety risk;
- A legal risk;
- A risk to customer funds; or
- A risk to other users.
61. Effect of termination
When an account is terminated:
- Access to the Platform may end;
- Active Campaigns may be cancelled or transferred;
- Public profiles may be removed;
- Pending Transactions may be reviewed;
- Approved undisputed balances may remain payable;
- Fraudulent or invalid balances may be reversed;
- Refunds may be issued;
- Confidentiality obligations continue;
- Intellectual-property provisions continue where applicable;
- Dispute obligations continue; and
- Records may be retained as described in the Privacy Policy.
Termination does not remove obligations or liabilities that arose before termination.
62. User closure of an account
A user may request account closure, subject to:
- Completion or cancellation of active Campaigns;
- Resolution of outstanding payments;
- Resolution of disputes;
- Withdrawal of approved funds;
- Legal-retention obligations; and
- Fraud-prevention requirements.
Account closure does not automatically delete every record. Data handling after closure is governed by the Privacy Policy.
PART J: DISCLAIMERS AND LIABILITY
63. Platform availability
PayFluence aims to provide a reliable service but does not guarantee that the Platform will always be:
- Available;
- Error-free;
- Uninterrupted;
- Secure from every possible attack;
- Compatible with every device;
- Free from third-party failure; or
- Unaffected by maintenance.
PayFluence may temporarily suspend features for:
- Maintenance;
- Security;
- Upgrades;
- Provider outages;
- Emergency response;
- Legal compliance; or
- Operational changes.
64. No guaranteed Earnings or business results
PayFluence does not guarantee Taskers:
- Employment;
- A salary;
- Daily Tasks;
- A minimum income;
- Monthly Earnings;
- Withdrawal at a fixed time regardless of review; or
- Permanent account access.
PayFluence does not guarantee Customers:
- Sales;
- Profit;
- Search ranking;
- Social-media reach;
- App-store approval;
- Product success;
- Viral content;
- Permanent publication on third-party services; or
- A specific commercial result.
Marketing statements describing opportunities or potential results must not be interpreted as guaranteed outcomes.
65. Third-Party Platforms
PayFluence does not control Third-Party Platforms.
PayFluence is not responsible for:
- Platform-policy changes;
- Algorithm changes;
- Content removal;
- Account suspension;
- Reduced reach;
- Review filtering;
- App-store decisions;
- Third-party downtime;
- Third-party data practices; or
- Third-party security failures outside PayFluence’s reasonable control.
Users must separately comply with Third-Party Platform terms.
PayFluence may cancel or modify a Campaign that becomes incompatible with a Third-Party Platform’s lawful policies.
66. User interactions
PayFluence may assist with verification and disputes but cannot guarantee every user’s:
- Identity;
- Honesty;
- Capability;
- Conduct;
- Availability;
- Audience authenticity;
- Product quality;
- Financial condition; or
- Future performance.
Users should exercise reasonable judgment when interacting with other users.
Users must keep communications on authorised channels where required for safety and evidence.
67. Limitation of liability
To the extent permitted by law, PayFluence will not be liable for indirect, incidental, special or consequential loss arising from:
- Loss of anticipated profit;
- Loss of business opportunity;
- Loss of reputation;
- Third-Party Platform actions;
- User misconduct;
- Unauthorised use of an account caused by the user’s failure to protect credentials;
- Inaccurate Customer materials;
- Independent user opinions;
- Events outside PayFluence’s reasonable control; or
- Use of Campaign results without independent evaluation.
Nothing in these Terms excludes or limits liability where exclusion is prohibited by law, including liability arising from fraud, wilful misconduct or another non-excludable legal obligation.
Subject to applicable consumer law, any contractual limit of liability must be interpreted reasonably and in relation to the affected transaction.
68. User responsibility and indemnity
A user may be responsible for reasonably proven loss, claims, costs or liabilities caused by the user’s:
- Fraud;
- Illegal Campaign;
- Intellectual-property infringement;
- Privacy violation;
- False representation;
- Malicious software;
- Unauthorised account access;
- Dishonest chargeback;
- Misuse of personal data;
- Material breach of these Terms; or
- Violation of a third party’s rights.
PayFluence will not rely on this provision to impose arbitrary costs or remove rights protected by Nigerian consumer law.
69. Force majeure
Neither PayFluence nor a user will be treated as having breached an obligation to the extent performance is prevented by an event genuinely outside reasonable control, such as:
- Natural disaster;
- Fire;
- Flood;
- War;
- Civil disturbance;
- Government restriction;
- National internet outage;
- Major cloud-provider outage;
- Payment-system failure;
- Widespread cyberattack;
- Epidemic;
- Labour disruption; or
- Similar extraordinary event.
The affected party must notify the other party where reasonably possible and take reasonable steps to reduce the impact.
Payment for services already completed remains due unless another lawful resolution applies.
PART K: COMPLAINTS AND DISPUTES
70. Raising a complaint
A user should raise a complaint as soon as reasonably possible.
The complaint should include:
- User name;
- Account information;
- Task, Campaign or booking reference;
- A clear description;
- Relevant dates;
- Relevant screenshots or links;
- The resolution requested; and
- Any other relevant evidence.

71. Internal dispute procedure
PayFluence may follow these steps:
- Confirm receipt of the complaint;
- Request relevant information;
- Temporarily protect disputed funds where necessary;
- Review Campaign Instructions;
- Review Submissions and communications;
- Allow affected parties to respond;
- Determine whether performance occurred;
- Decide on payment, correction, replacement or refund;
- Communicate the decision; and
- Allow an appeal where appropriate.
PayFluence may resolve a dispute through:
- Approval;
- Rejection;
- Correction;
- Replacement performance;
- Partial payment;
- Full payment;
- Partial refund;
- Full refund;
- Wallet adjustment;
- Account warning;
- Account restriction; or
- Another proportionate remedy.
72. Appeals
A user may appeal a decision by providing:
- The original decision;
- The reason the user believes it is incorrect;
- New or overlooked evidence; and
- The requested outcome.
An appeal must ordinarily be submitted within the period displayed in the decision.
PayFluence may reject repeated appeals that provide no new information.
73. Consumer complaints
Nothing in the internal dispute process prevents a consumer from exercising rights available under Nigerian law.
The Federal Competition and Consumer Protection Commission is Nigeria’s leading competition and consumer-protection authority and is empowered to protect consumer interests and promote fair business practices.
Privacy complaints may also be submitted to the Nigeria Data Protection Commission, which oversees implementation of the Nigeria Data Protection Act 2023.
74. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria.
This includes, where applicable:
- The Companies and Allied Matters Act 2020;
- The Federal Competition and Consumer Protection Act 2018;
- The Nigeria Data Protection Act 2023;
- Applicable cybercrime legislation;
- Applicable intellectual-property laws;
- Applicable tax laws; and
- Other relevant Nigerian laws and regulations.
The Corporate Affairs Commission identifies CAMA 2020 as the current statutory framework governing Nigerian companies and provides the legislation through its official resources.
75. Good-faith resolution and courts
Before commencing court proceedings, the parties should ordinarily attempt to resolve a dispute through:
- PayFluence’s internal complaint process;
- Direct good-faith negotiation; and
- Mediation where both parties agree.
Where a dispute is not resolved, it may be submitted to a court of competent jurisdiction in Nigeria.
Nothing in this provision prevents a party from seeking urgent legal protection or submitting a complaint to a competent regulator.
PART L: GENERAL TERMS
76. Changes to the Platform
PayFluence may:
- Add features;
- Remove features;
- Change Task categories;
- Change Campaign processes;
- Change verification procedures;
- Change Wallet features;
- Update security controls;
- Change fees prospectively;
- Introduce new user categories; or
- Stop a service.
Where a material change affects an active paid Campaign, PayFluence will seek to provide a fair resolution.
77. Changes to these Terms
PayFluence may update these Terms because of:
- New features;
- Business changes;
- Legal developments;
- Regulatory requirements;
- Security needs;
- Payment-provider requirements;
- Third-Party Platform policy changes; or
- Clarification of existing procedures.
The updated Terms will display a revised effective date.
Where a change materially affects users, PayFluence may give notice through:
- Email;
- Website notice;
- Dashboard notice;
- In-app message; or
- Another reasonable method.
Material changes will apply prospectively unless law requires otherwise.
Continued use after the effective date constitutes acceptance of the updated Terms, except where fresh express consent is required by law.
78. Electronic communications
Users consent to receiving contractual and operational communications electronically through:
- Email;
- Dashboard notification;
- Website notice;
- In-app notification;
- SMS;
- WhatsApp; or
- Another registered communication channel.
Users must keep their contact information current.
A notice is considered received when delivered through the user’s registered channel, subject to evidence of transmission and applicable law.
79. Assignment
Users may not transfer their PayFluence account or contractual rights without written approval.
PayFluence may transfer its rights and obligations as part of:
- A merger;
- Corporate restructuring;
- Investment;
- Acquisition;
- Sale of assets; or
- Transfer to an affiliated operator,
provided that users’ legal rights are not unfairly reduced.
80. No waiver
Where PayFluence does not immediately enforce a provision, this does not permanently waive the right to enforce it later.
A waiver must be clear and apply only to the specific matter stated.
81. Severability
Where a court or competent authority finds part of these Terms unlawful or unenforceable, that part will be limited or removed to the minimum extent necessary.
The remaining provisions will continue to apply.
82. Entire agreement
These Terms, together with:
- The Privacy Policy;
- Campaign Instructions;
- Applicable service agreements;
- Payment terms;
- Refund Policy;
- Accepted booking terms; and
- Any written additional agreement,
form the agreement relating to use of PayFluence.
Where there is a conflict:
- A specifically negotiated written agreement applies to that transaction;
- Campaign-specific terms apply to the Campaign;
- A role-specific agreement applies to that role; and
- These general Terms apply to everything else.
No WhatsApp message or informal statement changes an agreed term unless it is made or confirmed by an authorised PayFluence representative.
83. Interpretation
Headings are provided for convenience and do not limit the meaning of a provision.
Words in the singular include the plural where appropriate.
“Including” means “including without limitation.”
A requirement for written communication may be satisfied electronically where permitted by law.
84. Contact details
